These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", "your") and Vingon PLC, a Kenyan company registered under number PVT-9XUQ9MV ("TelelBirds", "we", "us", "our"), governing your use of the TelelBirds website, mobile app, APIs, hardware kits and professional services (together, the "Services"). By accessing or using the Services you confirm you have read, understood and agreed to these Terms.

1. Account registration

To use most parts of the Services you must register an account. You agree to provide accurate, complete and current information, keep it updated, maintain the confidentiality of your login credentials and promptly notify us of any unauthorised use of your account. You are responsible for all activity under your account.

You must be at least 18 years old (or the age of majority in your country, if higher) to register an account for commercial use. Users aged 16–18 may register for the Training Academy only, with verifiable parental consent.

2. Acceptable use

You agree not to:

• Use the Services for any unlawful, infringing, deceptive, discriminatory or harmful purpose.
• Attempt to interfere with the integrity or performance of the Services (DoS attacks, scraping that exceeds the rate limits, reverse engineering, bypassing access controls, etc.).
• Upload malware, viruses or any code of a destructive nature.
• Impersonate another person, farm or entity.
• Use the Services to send spam or unsolicited bulk communications.
• Use the Services to collect or infer sensitive personal data about individuals (health, ethnicity, political views, etc.) in violation of applicable law.
• Resell, white-label or redistribute the Services without a written reseller agreement.

3. Subscriptions & billing

Paid subscription plans are billed monthly or annually, in advance, in the currency displayed at checkout. Prices are inclusive of VAT where applicable and exclusive of local sales taxes you may owe. We may change list prices with 30 days' notice; existing subscriptions continue at the old price for the remainder of their paid period.

Payments are non-refundable except where required by applicable consumer-protection law or where we materially fail to deliver the Services for more than 72 continuous hours. In the latter case, we will prorate a service credit automatically.

Subscriptions renew automatically. You may cancel at any time via your dashboard; cancellation takes effect at the end of the current paid period.

4. Free tier & trials

The Starter tier is free of charge and available indefinitely, subject to the feature limits listed on the pricing page. Trial periods for paid tiers (where offered) convert to paid subscriptions automatically unless cancelled before the trial ends; we send a reminder email three days before conversion.

5. Intellectual property

All intellectual property in the Services (software code, interface design, branding, documentation, training materials) is owned by Vingon PLC or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Services during the subscription term for your own farming or business operations. Nothing in these Terms transfers ownership of the Services or any component to you.

The TelelBirds name, logo and brand elements are our trademarks. You may not use them without our prior written permission, except to accurately describe your use of the Services (e.g. "We manage our farm with TelelBirds").

6. Your content

You retain all intellectual property rights in the data and content you create or upload to the Services ("Your Content"), including flock records, images, documents and messages. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, back up, display and process Your Content solely to provide and improve the Services as directed by you.

You are responsible for the accuracy, legality and appropriateness of Your Content. We may remove content that violates these Terms or applicable law, after notice to you where reasonably possible.

7. Third-party services

The Services may integrate with third-party systems (payment processors, delivery providers, veterinary labs, SMS gateways). Your use of those third-party services is subject to their own terms, over which we have no control. We are not responsible for the acts or omissions of third-party providers.

8. Warranties & disclaimers

We warrant that we will perform the Services with reasonable care and skill, in accordance with our documented service levels. We make no other warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or any warranty that the Services will be uninterrupted, error-free, or free of harmful components. The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law.

In particular, no feature of the Services constitutes veterinary diagnosis, financial advice, tax advice or legal advice. See our Disclaimer.

9. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Vingon PLC, its affiliates, officers, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill, or livestock arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability under or in connection with these Terms shall not exceed the greater of (a) the amount you paid us for the Services in the twelve months preceding the event giving rise to the liability, or (b) US $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud).

10. Indemnification

You agree to indemnify and hold harmless Vingon PLC and its officers, directors, employees and agents against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from (a) your violation of these Terms, (b) your violation of any third-party right, including intellectual property or privacy rights, or (c) Your Content.

11. Suspension & termination

We may suspend or terminate your account with cause (material breach, non-payment after 14 days' notice, legal requirement, safety threat to other users) or without cause with 30 days' prior notice. You may terminate your account at any time via the dashboard. On termination:

• Your right to access the Services ends immediately.
• Your Content remains available for export for 90 days.
• After 90 days, Your Content is deleted from active systems; backups cycle out within a further 90 days.
• Prepaid fees for unused service periods are refunded on a pro-rata basis where termination was without cause by us.

12. Governing law & dispute resolution

These Terms are governed by the laws of the Republic of Kenya. The parties will attempt in good faith to resolve any dispute by negotiation for a period of 30 days. If unresolved, the dispute will be referred to binding arbitration under the Nairobi Centre for International Arbitration (NCIA) Rules, by a single arbitrator agreed by the parties, with the seat of arbitration in Nairobi and the language in English. Nothing in this clause prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.

For consumer users in the European Union, nothing in this clause overrides mandatory consumer-protection rights, including the right to bring proceedings in the courts of your country of residence.

13. Changes to these Terms

We may update these Terms from time to time. Material changes are notified by email to active users at least 30 days in advance. By continuing to use the Services after an update takes effect, you accept the revised Terms. If you do not accept the changes, you must stop using the Services and may cancel without penalty.
